Guidewire has signed a definitive agreement to acquire London-based hyperexponential (hx), an AI-native underwriting and pricing platform for commercial property and casualty insurers, for a base price of $1.7 billion in cash, plus up to $400 million in contingent payments tied to recurring revenue targets. hx, already a Guidewire technology partner, covers submission triage, risk assessment, pricing, rating, and portfolio steering, is used across more than $75 billion in annual commercial premium, and brings a team of about 300. The main objective is to position Guidewire as a leader in “agentic underwriting,” where AI agents work alongside underwriters and actuaries to assess and price risk, extending the company beyond its core policy and claims systems; the deal is expected to close in the second quarter of Guidewire’s fiscal 2027. Key players include Guidewire CEO Mike Rosenbaum and hyperexponential CEO and co-founder Amrit Santhirasenan, who said underwriting judgment is the highest-leverage work insurers do.
