Priority Technology Holdings, a payments and banking solutions provider that streamlines collecting, storing, lending, and sending money, has agreed to be taken private by an investor group led by Chairman and CEO Thomas Priore, in an all-cash deal valued at approximately $1.6 billion enterprise value. The investor group will pay $8.05 per share for shares it doesn’t already own—a 65% premium to the stock’s price before the initial proposal was disclosed in November 2025, and more than 30% above Priore’s original 6-to-6.15 offer—with equity commitments from funds advised by Searchlight Capital Partners. A special committee of independent directors unanimously recommended the transaction after review with legal and financial advisers; the agreement includes a $15.75 million termination fee for Priority and a $35.25 million reverse-termination fee for the buyer. Key players include Priority Technology Chairman and CEO Thomas Priore, who leads the investor group taking the company private, and Searchlight Capital Partners, providing the deal’s equity financing.
