Toronto-based banktech provider Zafin has signed a definitive agreement to acquire Naehas, a Palo Alto software firm for offer management, disclosure automation, and marketing compliance, in a deal reported to be a nine-figure sum in US dollars paid in cash and equity and partly financed by a credit line; closing is expected in the fourth quarter of 2026. It is Zafin’s first major acquisition since Nordic Capital took a majority stake in 2024, and it adds to a portfolio that includes the Zafin Banking Platform, the AIOS governance layer for agentic workflows, and the Zafin IO integration layer. The main objective is to extend Zafin’s reach from product and pricing through offer execution and compliant customer delivery, expanding its customer base to 16 of the 20 largest US banks, with Zafin expecting $200 million in annual recurring revenue by year-end. Key players include Zafin CEO Charbel Safadi, who said Zafin could make up to three smaller acquisitions over the next year, and Nordic Capital.
