NEC Corporation, a Japanese multinational information technology corporation, has agreed to acquire CSG Systems International for JPY 438.5 billion (≈$2.9 billion), paying $80.70 per share in cash, a 17.4% premium over CSG’s last closing price. The deal, expected to close within 2026, will make the U.S.-based SaaS provider a wholly owned NEC subsidiary via a reverse triangular merger. By integrating CSG’s customer engagement, revenue management, and payment solutions with NEC’s Netcracker unit, the acquisition will expand NEC’s portfolio beyond telecom into financial services, healthcare, retail, media, and logistics, strengthening its global digital transformation strategy.
